你去美国读什么呢? 看起来一切还都不错的样子么~~  希望你一切顺利!
我来德国快一年了,已经申请到学校了,今年冬季入学,这几个月学德语快给我折磨死了,呵呵。。。  不过还好我够坚强 咔咔……  但是英语都忘得差不多了,有得必有失阿…… 以后慢慢检吧~~

什么是TRANSFER PRICING? 什么是APA?
       纳税人的外资企业最常采用的避税方式就是转让定价。所谓转让定价是指跨国公司根据其全球的战略目标,在关联公司之间进行交易活动时所确定的企业集团内部价格,包括对货物价格、特许权使用费、贷款利息、租金、服务费及其支付方式的确定。由于是内部交易价格政策,转让价格并不完全决定于市场供求关系,它可以是一个纯粹的仲裁数字,也就是说价格可以与发生的费用无关、与所进行的运作无关、与增值无关。有非税目的的转让定价和基于税务目的的转让定价:前者主要是为了克服外部市场的不完全性,降低外部市场交易成本,包括获得必要信息的费用、寻找合适贸易伙伴并与之进行讨价还价的成本,在合同上规定双方权利与义务的成本,接受合同的风险成本和机会成本,因市场联系时滞或中间产品供应不及时产生的成本,各国政府设置的障碍,包括关税、配额、税收、资本输出限制、汇率政策或其他政府干预等等;后者则是为了在有税率差异的国家或地区之间调整母公司与子公司的税前利润达到集团税负最小化的目的,例如,母公司处在高税率国家,子公司处在低税率国家,母公司在向处在低税率国家的子公司出售商品和劳务时,采用低的转移价格,反之,该子公司向母公司出售商品和劳务时,则采用高的转移价格,以提高母公司的成本,降低母公司的利润,这样,利润就会从高税率国家转移到低税率国家纳税,减轻整个公司的所得税负担,此外,跨国公司还可把利润转移到设在避税地(Tax Havens)的控股公司进行间接避税,由于外国公司在避税地的税率很低或根本不纳税,当地政府对跨国公司的法律管制也极为松弛,公司的资金调拨和利润分配有较大自由,因此,跨国公司利用避税地,设立控股公司或虚设中转公司,操纵转移价格,以达到逃避税负的目的。
 
     APA,即预约定价协议,是指税务机关和纳税人就其关联交易的价格和利润的确定方法、原则所达成的预先约定。1987年日本首先采用,之后美国对其作了进一步发展,现在很多国家都已采纳了这一制度,OECD(经合组织)1999年也颁布了预约定价安排的指南。预约定价协议分为单边预约定价协议和双边或多边预约定价协议。双边或多边预约定价是跨国关联交易的双方纳税人,事先就同一跨国交易内容同时向关联交易双方所在国的主管税务机关提出关联交易的定价原则和计算方法,两国主管税务机关分别审核并共同确认后,同意双方纳税人,据以核算该关联交易的应纳税所得额或者确定合理的营业利润区间的一种国际税收管理方法。其主要内容是申请人通过预备会谈与税务当局进行初步沟通,然后正式申请,经过税务当局的审核与评估并经双方磋商后达成预约定价安排草案并最后签署,一经签署,在协议有效期内,只要纳税人遵守了安排的全部条款及其要求,税务当局对其转让定价方法应当予以认可。 
      概括说来,APA的优点有:(1)由事后调整改为事前规范,对公司采用的转让定价预先作出规定,能较好解决转让定价的滥用问题,有效的保护国家的税收利益。(2) 降低了税务机关对转让定价调整的不确定性,使税收收入稳定且可预期。(3) 避免双重征税或双重不征税,特别是有助于在几个国家同时解决转让定价问题。原来外资企业实施转让定价,将利润转移至低税国乃至避税地,可能导致双重不征税,从而使合法纳税的企业处于不利的竞争地位;而税务当局对其进行税务调整又可能导致在他国已被征税的收入在中国重新被征税。如上例所示,APA有效的解决了这一问题。(4) 有利于企业进行经营决策,同时减少征纳纷争,以避免税收对经济的干扰。虽然比起原有的大肆避税的局面来,APA可说代价高昂,但避税行为毕竟是可撤销行为,随时可能被税务当局调整,具有巨大的税务风险,而APA可以使人放心的经营。(5) 有利于提高工作效率,降低征纳双方管理成本。
      当然,APA也不是没有缺点。其缺点主要是:迫使企业披露敏感性机密信息;在调整转让定价政策方面缺乏弹性;要提交大量文件和管理;尤其使遵循和应用较为复杂,费时费力,需要高素质的税务官员和大量的人力物力投入。事实上,迄今为止,即使在美国,实施成功的APA并不多。

a sad day

Today I am really sad!! First of all, because I miss ... Then I cried for someone who works with me. He is realy mean to me. And I found here, never think about free lunch.
   That's just life. I can bear that. At first, I asked him working for me, because I know he needs money, also I really don't have time in that day. Then he wants me to work for him on Monday night, but I really don't want to work. Because I promised that I would do something with my friend. Whatever I still want to help him, but he just yelled to me " you remember, you own me, seriously, remember.." I don't know why he is so mean to me, I said ok, I will work for you ,but he still mad to me. Heng~~~ I don't care, because I don't think I owed hime ,he worked for me before, because he needs money, otherwise he wouldn't work for me. It's fair, why he thought I owned him. I always work for the other person, I have never thought he owned me, I really thank to him giving me the chance for making money.
   I cried , really miss ...
   But right now I am fine, I can understand him, he is so young, and also he just really needed help, and he doesn't have a good temper, so I forgave him, but I still don't talk to him any more~
